This Resources Licence ("Licence") applies to digital resources (including but not limited to guides, templates, checklists, documents, downloads and other digital content) ("Resources") that you purchase or obtain via download from the Wright Websites website or related platforms ("Site") operated by Wright Websites ("we", "us", "our"). By purchasing or downloading Resources from the Site, you ("Purchaser", "you", "your") agree to be bound by this Licence. If you are acting on behalf of a business, you represent that you have authority to bind that business.
Subject to payment of the applicable fee and compliance with this Licence, we grant you a limited, non-exclusive, non-transferable licence to access, download and use the Resources solely for your own personal or internal business use. The licence is granted to you as the named purchaser and licence holder only. It is personal to you and may not be transferred, sublicensed or assigned to any other person or entity without our prior written consent.
You may use the Resources only for your own purposes in accordance with this Licence. You may store the Resources on your own devices and make a reasonable number of backup copies for your own use. You may use the Resources in the course of your own business or personal projects to the extent that such use does not amount to redistribution or sharing as prohibited below.
You must not share, distribute, resell, sublicense or otherwise make the Resources (or any part of them) available to any third party in any format. This includes but is not limited to: posting the Resources on the internet, intranets or file-sharing platforms; sending them by email or other means to third parties; allowing others to access your download or copies; or bundling or including the Resources in products or services you supply to others. The Resources are licensed solely to the purchaser and must not be shared or redistributed in any format.
You must not create, distribute or make available any derivative works based on the Resources. "Derivative works" includes any adaptation, modification, translation, compilation, abridgment or other work that is derived from or based upon the Resources. You may use the Resources in your own projects (e.g. as reference or template for your own output) provided that you do not redistribute the Resources themselves or create and distribute derivative versions of the Resources to third parties.
We (or our licensors) own all right, title and interest in and to the Resources, including all copyright, trade marks and other intellectual property rights. This Licence does not transfer ownership of the Resources to you. You receive only the limited rights set out in this Licence. You must not remove or alter any copyright, trade mark or other proprietary notices on the Resources.
The Resources are provided "as is". We do not warrant that they will meet your requirements or be error-free or uninterrupted. To the fullest extent permitted by law, we exclude all warranties, conditions and representations, whether express or implied, except that we do not exclude or limit our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law. Your statutory rights as a consumer (if applicable) are not affected.
Our total liability to you in connection with the Resources or this Licence shall not exceed the amount you paid for the relevant Resources. We shall not be liable for any indirect, consequential or special loss, or loss of profit, revenue, data or goodwill. These limits apply whether liability is in contract, tort (including negligence) or otherwise.
This Licence is effective until terminated. We may terminate it immediately if you breach any of its terms. On termination, you must cease all use of the Resources and delete or destroy all copies in your possession or control. Provisions that by their nature should survive (including ownership, restrictions, disclaimers and limitation of liability) shall survive termination.
This Licence is governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction. If any provision is held invalid, the remainder remains in force. This Licence constitutes the entire agreement between you and us regarding the Resources and supersedes any prior discussions. For questions about this Licence or the Resources, please contact us using the details on our website.
